Terms of Service

Last updated: Sep 27, 2026 · Version 1.0

This is a draft. It is not yet in force.

28 details shown like this are still to be confirmed — company name, fees and contact addresses among them. Nothing here binds you until a final version is published.

Part A. General terms (all users)

A1Who we are

These Terms are an agreement between you and [GOBINZ LEGAL ENTITY NAME], an Ontario corporation (“GOBINZ”, “we”, “us”), operating gobinz.ca and related apps and services (the “Platform”). Our address is 1130-1011 Upper Middle Rd E, Oakville ON L6H 5Z9. Contact: [info@gobinz.ca].

A2Acceptance

By creating an account, booking, or using the Platform, you agree to these Terms and our Privacy Policy. If you use the Platform for a business, you confirm you are authorized to bind that business, and “you” includes it. If you do not agree, do not use the Platform.

A3Definitions

  • Customer: anyone who books a bin through the Platform.
  • Business Customer: a Customer booking for a business purpose (contractors, property managers, builders, landscapers, and similar).
  • Consumer: a Customer who is an individual booking primarily for personal, family or household purposes.
  • Hauler: an independent bin rental company approved to supply bins through the Platform.
  • Booking: a confirmed order for bin delivery, rental and pickup.
  • Schedules: the Price and Fee Schedule, Hauler Fee Schedule, Prohibited Materials List, and Service Area List, published on the Platform and updated from time to time.

A4What GOBINZ is (and is not)

GOBINZ operates a technology marketplace that connects Customers with independent Haulers. GOBINZ does not own bins or trucks, and does not transport, handle or dispose of waste. Each Hauler is solely responsible for delivery, pickup, transport, disposal and compliance with waste, environmental and transportation law. Haulers are independent businesses, not employees, agents or partners of GOBINZ. GOBINZ acts as the Hauler’s limited payment collection agent: when you pay GOBINZ, your payment obligation to the Hauler is satisfied.

A5Eligibility

You must be at least 18 and able to form a binding contract. Accounts are for use in Canada. We may refuse service, registration or a Booking to anyone, for any lawful reason.

A6Your account

You must give accurate, current information and keep it updated. You are responsible for all activity on your account and for keeping sign-in links and credentials private. Tell us right away at [support@gobinz.ca] if you suspect unauthorized use. One person or business per account unless we approve otherwise. Accounts may not be sold or transferred.

A7Communications

You agree we may contact you by email, SMS and in-app message about your account and Bookings. These service messages are part of using the Platform. Marketing messages are sent only with consent, and you can unsubscribe at any time.

A8Schedules form part of these Terms

The Schedules are incorporated into these Terms. The version in effect when you confirm a Booking applies to that Booking.

Part B. Customer terms

B1Making a Booking

You choose waste type, bin size, address, delivery window and pickup details. Before you pay, we show the total price, including taxes and any add-ons. A Booking is confirmed when we send confirmation, not when you submit. We match your Booking to an available Hauler and may reassign it to a different Hauler at any time before delivery, without changing your price.

B2No Hauler found

If no Hauler accepts within [30 minutes] (or a longer window we show you), we cancel the Booking and release or refund your payment in full. That is your only remedy for a Booking we cannot fill.

B3Price

The price shown at checkout is the price you pay for the Booking as described. It covers delivery, the rental period, one pickup, and disposal of permitted waste within the bin’s limits. Our service fee is built into that price. Prices vary by size, waste type, location, date and delivery speed, and we may change prices for future Bookings at any time.

B4Extra charges

Additional charges apply only if caused by you, are listed in the Price and Fee Schedule, and are supported by evidence (such as photos or disposal-facility records):

  • Rental extensions beyond the included period ([$X/day]).
  • Overfilled bins (waste above the rim) or bins over the weight limit for their size.
  • Prohibited or mismatched materials (for example, mixed waste in a clean-fill bin).
  • Failed delivery or pickup because the site was blocked, unsafe or inaccessible ([$X] trip fee).
  • Bin relocation, swaps, or extra pickups you request.
  • Damage to the bin beyond normal wear.

We will tell you the reason and amount before or when we charge it, and you can dispute it under B11.

B5Payment and authorization

Payments are processed by Stripe. By booking, you authorize us to (a) place an authorization hold for the Booking total, (b) charge the Booking total [at delivery], (c) place a separate refundable damage deposit hold of [$200], and (d) charge extra charges under B4 to the same payment method. The deposit hold is released within [7] days after pickup if no charges apply, or reduced by any charges that do. Your bank controls how long a released hold takes to disappear.

B6Cancellation and refunds

  • (a) Where the Customer cancels a Booking more than twenty-four (24) hours before the start of the confirmed delivery window, no fee shall be payable and the Customer shall receive a full refund of all amounts paid.
  • (b) Where the Customer cancels a Booking within twenty-four (24) hours of the start of the confirmed delivery window, but before the Hauler has dispatched a vehicle, the Customer shall pay a cancellation fee of [CANCELLATION FEE], and the balance of any amount paid shall be refunded.
  • (c) Where the Customer cancels a Booking after the Hauler has dispatched a vehicle but before the bin has been delivered, the Customer shall pay a trip fee of [TRIP FEE], and the balance of any amount paid shall be refunded.
  • (d) Where the Customer cancels a Booking after the bin has been delivered, the service shall be deemed to have been rendered and no refund shall be payable.

You must choose a reason when cancelling. If the Hauler fails to deliver within the confirmed window and you cancel, you get a full refund. If GOBINZ cancels for any reason other than your breach, you get a full refund. Refunds go to the original payment method.

B7Rental period and pickup

The standard rental period is [14] days from delivery unless your Booking says otherwise. Request pickup through the Platform. Haulers aim to collect within [90 minutes] of the requested pickup time, but times are estimates, not guarantees. If you don’t request pickup, the bin is collected at the end of the rental period and extension fees may apply.

B8Your site responsibilities

You are responsible for:

  • Having the right to place the bin at the address, and getting any municipal permit needed for street or public-property placement.
  • Clear, safe, level access for a roll-off truck, free of overhead wires and obstacles.
  • Damage to driveways, lawns, curbs, pavement or underground services from normal placement and removal. Use boards or protection if you are concerned. Haulers are not liable for this unless they were negligent.
  • Not moving the bin, and keeping people and children away from it.

B9What can go in the bin

Only materials permitted for your selected waste type, within the fill line and weight limit. Never put in: hazardous waste, paint, solvents, oils, fuels, propane tanks, batteries, asbestos, tires, electronics, appliances with refrigerant, medical waste, or anything listed in the Prohibited Materials List. You are responsible for all costs, fines and damages from prohibited materials, including disposal surcharges and environmental cleanup.

B10Damage and loss

You are responsible for the bin from delivery to pickup, except for normal wear. Damage caused by overloading, fire, prohibited materials, or misuse may be charged under B4.

B11Disputes about charges

Contact [support@gobinz.ca] within [14] days of a charge. We will review evidence from you and the Hauler and decide in good faith. Nothing here limits your rights to dispute a charge with your card issuer or under consumer protection law.

B12Reviews

You may rate Haulers after pickup. Reviews must be honest and based on your own experience. See D5.

Part C. Hauler terms

Part C applies to Haulers in addition to Parts A and D. Haulers are businesses, not consumers.

C1Application and approval

You must provide proof of incorporation, a certificate of commercial general liability insurance of at least [$2,000,000] per occurrence naming [GOBINZ LEGAL ENTITY] as additional insured, valid municipal and provincial waste hauling permits, disposal facility licences or arrangements, fleet and bin inventory details, and any other information we request. We may verify documents, run background and reference checks on the business and its principals, and require a trial period. Approval is at our sole discretion and can be withdrawn under C10.

C2Ongoing requirements

You must keep all insurance, permits and registrations valid and upload renewals before expiry. You must tell us within [2 business days] of any lapse, claim, regulatory action or change of control. We may suspend you automatically when a document expires.

C3Doing the work

For every Booking you accept, you will deliver, pick up and dispose of waste on time, safely, lawfully, and to the standards in our Hauler Service Standards (including the [90-minute] pickup target). You supply and are responsible for your bins, trucks, drivers, fuel, tipping fees and disposal. You are solely responsible for your workers’ wages, WSIB coverage, safety training, taxes and source deductions.

C4Accepting and declining

You may accept or decline any Booking offered to you, and must select a reason when declining. Once accepted, you must perform it. We may reassign a Booking if you are unresponsive, late or at risk of missing the window, and we may apply the non-performance fees in the Hauler Fee Schedule.

C5Pricing

Customer pricing is set by GOBINZ, informed by the rates you enter for your cities and waste types. You may not charge a Customer anything outside the Platform for a Platform Booking.

C6Fees and payouts

GOBINZ collects all Customer payments as your limited payment collection agent. We keep the platform commission and any add-ons set out in the Hauler Fee Schedule (currently [12%] of the Booking value) and pay you the balance. Payouts go through Stripe Connect, weekly on [Friday] for Bookings completed [and not in dispute] in the prior period. Instant payouts, where offered, carry the fee in the Hauler Fee Schedule. You must accept Stripe’s Connected Account Agreement. You are responsible for your own HST registration, remittance and income tax.

C7Holds, set-off and chargebacks

We may withhold, delay or deduct from payouts to cover: refunds, chargebacks and disputes on your Bookings; non-performance fees; amounts you owe us; and suspected fraud, pending investigation. If your balance is negative, we may charge your payment method on file or invoice you, payable within [15] days.

C8Non-circumvention

You will not, during your time on the Platform and for [12 months] after, directly or indirectly solicit, quote, invoice or accept payment from any Customer you were introduced to through the Platform for bin rental or related services, outside the Platform. This includes sharing contact details, leaving business cards, or putting pricing on bins with intent to move the Customer off-Platform. If you breach this, you agree to pay GOBINZ, as a genuine pre-estimate of our lost commission and acquisition cost and not as a penalty, [$X] per Customer diverted, plus our reasonable legal costs, and we may terminate your account immediately.

C9Customer data

You may use Customer information only to perform the Booking it relates to. You may not store it for marketing, sell it, or contact the Customer for other purposes. You must protect it and tell us within [24 hours] of any suspected breach.

C10Ratings, suspension and removal

We rank and match Haulers based on performance, ratings, price, location and other factors we choose. We may suspend, limit, deprioritize or remove you at any time, including for: low ratings, missed windows, customer complaints, lapsed documents, circumvention, fraud, unsafe or unlawful conduct, or harm to GOBINZ’s reputation. Where practical we will tell you the reason. Either party may end the relationship on [30] days’ written notice. Accepted Bookings must still be completed.

C11Hauler indemnity and insurance

You will defend, indemnify and hold harmless GOBINZ and its directors, officers, employees and investors from all claims, losses, fines and costs (including legal fees) arising from your services, vehicles, bins, workers, disposal practices, breach of these Terms or breach of law. This survives termination.

C12Marketing

You grant GOBINZ a non-exclusive, royalty-free licence to use your business name and logo to identify you as a Hauler on the Platform and in GOBINZ marketing, during your time on the Platform.

Part D. Platform rules, liability and disputes (all users)

D1Our rights to run the Platform

We may, at any time and without liability: change, add or remove features; set and change prices, fees and Schedules for future Bookings; set service areas; cancel or reassign Bookings (with a full refund to the Customer where GOBINZ cancels); refuse or limit service; investigate misuse; and cooperate with law enforcement where legally required.

D2Acceptable use

You will not: give false information; book for someone without authority; use another person’s payment method; scrape, copy or reverse engineer the Platform; interfere with its security; post unlawful, abusive or misleading content; harass Haulers, drivers, Customers or staff; or use the Platform to compete with GOBINZ.

D3Communications through the Platform

We may route calls and messages through masked numbers or in-app messaging, and may monitor and keep them for safety, quality, dispute resolution and enforcing these Terms.

D4AI bin size recommender

The bin size recommendation, including photo analysis, is an estimate to help you choose. It is not a guarantee of fit or weight. You remain responsible for choosing the right bin and waste type. Photos you upload are processed as described in our Privacy Policy. Do not upload photos showing people’s faces or personal documents.

D5Your content

You keep ownership of reviews, photos and messages you submit (“User Content”). You grant GOBINZ a worldwide, non-exclusive, royalty-free, perpetual, transferable and sublicensable licence to use, host, reproduce, modify, display and distribute User Content to operate, improve and promote the Platform. Reviews may be shown publicly with your first name and last initial. We may remove or decline to publish any User Content, but we do not edit genuine reviews to change their meaning.

D6Our IP

GOBINZ, the Z mark, the Platform and all content we create belong to GOBINZ or its licensors. You receive a limited, revocable, non-transferable licence to use the Platform as intended. Feedback and suggestions you give us may be used freely without payment to you.

D7Disclaimers

To the fullest extent permitted by law, the Platform is provided “as is” and “as available”. GOBINZ does not guarantee uninterrupted availability, that a Hauler will be available, or specific delivery or pickup times. Haulers are independent and GOBINZ is not responsible for their acts or omissions, except where the law says otherwise. Nothing in these Terms excludes warranties or conditions that cannot be excluded under the Consumer Protection Act, 2002 (Ontario) or other applicable law.

D8Limitation of liability

To the fullest extent permitted by law: (a) GOBINZ is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity; and (b) GOBINZ’s total liability for all claims relating to a Booking is limited to the amount you paid for that Booking, and for all other claims to the greater of [$100] or the fees GOBINZ received from you in the [6] months before the claim. These limits do not apply to liability that cannot be limited by law, including for fraud, gross negligence, wilful misconduct, or death or personal injury caused by our negligence.

D9Your indemnity

You will indemnify GOBINZ and its directors, officers, employees and investors against claims, fines, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, prohibited materials you placed in a bin, or your violation of law or third-party rights. For Consumers, this applies only to the extent permitted by law.

D10Suspension and termination

We may suspend or close any account at any time for breach of these Terms, suspected fraud, abuse, non-payment, legal risk, or inactivity over [24 months]. You may close your account any time by contacting us. Closure does not cancel amounts owed or Bookings in progress. Sections that by their nature should survive (payments, indemnities, liability limits, non-circumvention, disputes, IP) survive.

D11Changes to these Terms

We may update these Terms. For material changes, we will give at least [30] days’ notice by email or in the Platform, stating what changed and when it takes effect. Changes do not apply to Bookings confirmed before the effective date. Continuing to use the Platform after that date means you accept the changes. If you don’t agree, close your account before then.

D12Disputes

  • Everyone: contact [support@gobinz.ca] first and give us [30] days to resolve it informally.
  • Business Customers and Haulers: any unresolved dispute will be finally resolved by confidential binding arbitration under the Arbitration Act, 1991 (Ontario), seated in Toronto, before a single arbitrator, in English. Claims must be brought individually, not as a class or representative action. Either party may seek urgent injunctive relief in court, and GOBINZ may sue in Small Claims Court or court to collect amounts owed or enforce C8.
  • Consumers: nothing in these Terms limits your right to go to court or join a class action where the Consumer Protection Act, 2002 gives you that right. You may choose arbitration after a dispute arises.

D13Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Subject to D12, the courts of Ontario, sitting in Toronto, have exclusive jurisdiction.

D14General

These Terms, the Schedules and the Privacy Policy are the entire agreement. If a court finds any part unenforceable, that part is limited to the minimum extent needed and the rest stays in effect. Our failure to enforce a right is not a waiver. We may assign these Terms, including in a merger, sale or reorganization; you may not assign them without our written consent. Neither party is liable for delays caused by events outside its reasonable control (severe weather, road closures, disposal facility shutdowns, outages of payment or hosting providers). Notices to us go to [legal@gobinz.ca]; notices to you go to your account email. These Terms may be provided in French on request; the English version governs to the extent permitted by law.
